Applicability
These terms apply to the public website, the Tooltribes app, the SimpleWork environment and other Tooltribes environments unless another written agreement applies.
A quote, order confirmation, processing agreement, service agreement or other written agreement may include additional or different terms.
To the extent permitted, Dutch law applies. Disputes are in principle submitted to the competent Dutch court, unless mandatory law or a written agreement provides otherwise.
Business contract model
Tooltribes is intended for business customers. Consumers or private persons cannot independently create or manage an organisation and cannot be the contracting party.
Private persons may participate as users or guests inside an existing organisation when that organisation invites or authorises them. The organisation remains responsible for that access and use inside its environment.
International use is possible within business arrangements. Additional contract documents, such as a data processing agreement, SLA, security appendix or enterprise agreement, may be required before larger or non-standard environments are activated.
Requests, quotes and activation
The commercial process is controlled: a business user starts a request, registers organisation details, receives or reviews a quote or offer, and Tooltribes reviews the request internally.
After internal approval and quote approval, payment through Stripe may follow. Activation of the organisation and modules only happens through the applicable onboarding process. A request or form submission does not create immediate access or activation.
Platform and modules
Tooltribes consists of a Base Platform with modules such as Toolbox, Asset Manager, File Vault and future modules. Availability, configuration, prices and implementation arrangements may differ per organisation, quote or module.
Tooltribes may change the platform, modules, security, hosting and technical operation when needed for maintenance, improvement, security or delivery of the service.
The platform is provided as available, unless a separate written SLA provides otherwise. Tooltribes does not guarantee uninterrupted, error-free or permanently available operation.
Responsibilities of organisations and users
Organisations are responsible for accurate organisation, billing and user information, for managing user rights and for lawful use of Tooltribes.
Users may not use Tooltribes for unlawful content, misuse, disruption, unauthorised access or actions that may harm the security, availability or integrity of the platform.
The organisation is responsible for its setup, entered data, workflows, users, access rights, backup needs outside Tooltribes and for assessing whether Tooltribes fits its intended use.
Fair use and enterprise use
The standard offering is intended for normal business use up to approximately 100 tribes, 200 Tool Cards and 300 users.
Use above that scale, or use with different implementation, support, integration, availability or scalability requirements, requires an additional enterprise agreement. These fair-use thresholds are commercial and operational assumptions and are not automatic technical blocks unless Tooltribes agrees this with the customer in writing or implements it technically.
Prohibited and high-risk use
Tooltribes may not be used for unlawful, harmful, misleading, discriminatory, safety-critical or high-risk applications where downtime, errors or incorrect data may cause injury, serious damage, legal violation or critical business disruption.
Tooltribes may limit, suspend or terminate access in case of misuse, security risks, non-payment, breach of these terms or use that may harm the service, other customers or third parties.
Content, data and intellectual property
The Tooltribes software, design, documentation and platform structure remain the property of Tooltribes or its rights holders. Organisations and users retain their rights to their own entered or uploaded content to the extent they hold those rights.
By using content or module data in Tooltribes, the organisation allows Tooltribes to process that data to deliver, secure, support and improve the service within the agreed context.
Third-party services
Tooltribes may use third-party services such as hosting, email handling, security, DNS/CDN and payment processing. Availability and terms of these services may affect Tooltribes.
To the extent legally permitted, Tooltribes is not liable for outages, changes or shortcomings of third-party services outside its reasonable control.
Payment, suspension and termination
Prices, payment moments, subscription periods and implementation arrangements follow from the quote, offer, order confirmation or other written agreement. Payment may take place through Stripe when that step is available for the relevant request.
Tooltribes may limit, suspend or terminate access in case of misuse, security risks, non-payment or conflict with agreements, to the extent reasonable and appropriate in the situation.
Indemnity
The organisation indemnifies Tooltribes against third-party claims arising from content entered by the organisation or its users, unlawful use, infringement of third-party rights or conduct that conflicts with these terms, to the extent legally permitted.
Tooltribes will inform the organisation of such claims where reasonably possible and cooperate in a reasonable handling process.
Liability
To the extent legally permitted, Tooltribes is not liable for indirect damages, consequential damages, lost profits, lost revenue, missed savings, reputational damage, data loss, business interruption or platform unavailability.
To the extent liability cannot be excluded, total liability is limited to the amount the customer paid Tooltribes for the relevant service in the twelve months before the event causing the damage, with an absolute maximum of EUR 100,000.
This limitation does not apply to liability that cannot be excluded or limited under mandatory law, such as intent or deliberate recklessness of Tooltribes where established under mandatory law.
